Reflexo Seller Terms

Draft, not legally reviewed. Version seller-terms-2026-10-18-draft1. To be reviewed by a lawyer before the public launch (BETA_10 §14).

1. Who we are and what these terms cover

1.1 Reflexo is provided by HolonCode (Udyam registration UDYAM-GJ-22-0618785), 402, Summer Queen Apartment, Bheem Kachchhi Mohallo, Surat, Gujarat 395001, India ("Reflexo", "we", "us").

1.2 These terms apply when a business ("you", the "seller") uses Reflexo: the AI assistant that answers your customers on WhatsApp, Instagram, Facebook, Telegram and calls, takes orders, and helps you run your shop.

1.3 You accept these terms when you sign up, on the web or on the Reflexo WhatsApp number. We record your acceptance and the version you accepted.

1.4 During the beta, Reflexo is offered as it is. Features may change. We tell you before a change that affects how your customers are served.

2. What Reflexo does for you

2.1 Reflexo answers your customers in your name, from the products, prices and answers you give it. It takes orders and payment links, asks you when it does not know, and learns the rules you teach it.

2.2 Reflexo acts only within your rules. Anything it may not do on its own, it asks you first. You can see every conversation, take over at any time, and undo what it learned.

2.3 Prices and amounts in replies come only from your records. Reflexo checks every message before it is sent.

3. Your responsibilities

3.1 You are responsible for your products, prices, delivery and the promises your shop makes.

3.2 You keep your catalogue, prices and answers correct. Reflexo uses what you give it.

3.3 You connect only accounts and numbers you are entitled to use, and you follow the rules of each platform (WhatsApp, Instagram, Facebook, Telegram, Razorpay and any tool you connect).

3.4 You do not use Reflexo:

3.5 You tell your customers that an assistant answers for your shop. Reflexo does this for you in its first reply to each new customer, with a link to your shop's privacy notice.

4. Your customers' data: our role and our promises

4.1 Who decides. For your customers' data (their messages, orders, details, voice notes and what the assistant remembers about them), you are the Data Fiduciary under India's Digital Personal Data Protection Act, 2023 and its Rules. Reflexo is your Data Processor.

4.2 On your instructions only. We process your customers' data only to provide Reflexo to you, and only as these terms and your settings say. We do not sell it. We do not use it to advertise. We do not use it for any other business.

4.3 Security. We protect the data with the safeguards described in our security documentation, including:

4.4 Sub-processors. We use the service providers listed in section 11 to run Reflexo. They are bound to protect the data. We tell you at least 30 days before adding a new one, and you may object.

4.5 Breaches. If we become aware of a personal data breach affecting your customers, we tell you within 24 hours, with what we know, and we help you inform the Data Protection Board and the people affected.

4.6 Rights requests. When a customer asks to see, correct or delete their data, Reflexo records the request and tells you, with buttons to approve it or to talk to us. If you do not act within 7 days, you authorise us to complete the request as your processor and to tell you that we did. We publish a 30-day response period.

4.7 Keeping and deleting. We keep data only as long as the service needs it, and the logs and archive for the legal minimum of one year. Orders are kept for 8 years for your accounts, with the customer's identity removed after 24 months without contact. When your account ends, section 9 applies.

4.8 Automated testing. To make sure a new version of Reflexo answers your customers at least as well as the current one, we may run your past conversations through the new version automatically, with no person reading them. Only numbers and structure are reported (for example "the reply had the right price"), never the content. You can opt out at any time in Settings.

4.9 Audit. On request, we give you the information you reasonably need to check that we keep these promises.

5. Your own data

5.1 For your own account data (your name, number, your staff, your messages to the Reflexo number), Reflexo is the Data Fiduciary. Our privacy notice explains what we collect and your rights.

6. AI and its limits

6.1 Reflexo uses AI models. It is checked before anything reaches a customer, and it asks you when it is unsure. Even so, it can make mistakes. You can review conversations, correct it, and take over at any time.

6.2 If Reflexo tells a customer something wrong, we tell you as soon as we find it, with what was sent and what is correct, and we help you put it right.

7. Fees

7.1 During the beta, Reflexo is free unless we agree otherwise in writing. AI usage has a daily limit per shop. We tell you when you reach 80% of it, and what happens at the limit.

7.2 We give you at least 30 days' notice before any paid plan applies to you.

8. Limits of our liability

8.1 Nothing in these terms limits liability that cannot be limited by law.

8.2 Subject to 8.1, we are not liable for loss of profit, revenue or business, or for indirect losses.

8.3 Subject to 8.1, our total liability to you in any 12 months is limited to the greater of the fees you paid us in those 12 months and ₹10,000.

8.4 We are not responsible for failures of the platforms Reflexo connects to (for example a messaging platform being unavailable), but we tell you when they affect your shop.

9. Ending the service

9.1 You can stop using Reflexo at any time. Ask, and we offer you an export of your data at once.

9.2 After a 30-day grace period we disconnect every channel and tool, revoke every credential, and delete your shop's data. The archive and logs are deleted when their one-year legal minimum ends. Backups expire within 35 days.

9.3 We may suspend or end the service if you break section 3.4, with notice where the law and safety allow.

10. General

10.1 These terms are governed by the laws of India. The courts of Surat, Gujarat have jurisdiction.

10.2 We may update these terms. We tell you at least 30 days before a change that affects you, and ask you to accept it.
